Terms of Service
1. Agreement
These Terms govern your use of Paprly (paprly.org), operated by PAPRLY. By registering for or using Paprly, you agree to these Terms. If you're using Paprly on behalf of a business, you're agreeing on that business's behalf and confirming you have authority to do so.
2. The service
Paprly extracts structured data (supplier, totals, tax, line items, etc.) from invoices you upload, using AI, and lets you export that data into connected accounting software (currently QuickBooks and Xero). Extraction accuracy is not guaranteed — you are responsible for reviewing extracted data before exporting or relying on it, particularly where our confidence indicator flags a result for review.
3. Accounts
- Paprly is intended for business and professional use: accountants, bookkeepers, and the businesses they work with — not for personal consumer use. By registering, you confirm you're using Paprly in a business or professional capacity, not as a consumer.
- You must provide accurate information when registering and keep your login credentials (email + API key) confidential.
- You're responsible for all activity that happens under your account.
- We may suspend or terminate accounts that violate these Terms, abuse the service, or are used for unlawful purposes.
4. Subscriptions & billing
- Paid plans (Starter, Growth, Scale) are billed monthly or annually in advance via Stripe.
- You can cancel at any time from your dashboard; cancellation takes effect at the end of your current billing period, and you retain access until then.
- Because Paprly is a business service (see Section 3), the consumer 14-day cooling-off/cancellation right under the Consumer Rights Act 2022 does not apply. If you believe you're using Paprly as a consumer rather than in a business capacity, please contact us before subscribing.
- We don't provide refunds for partial billing periods, except where required by law.
- We may change pricing with reasonable advance notice; continued use after a price change takes effect means you accept it.
5. Acceptable use
You agree not to:
- Upload content you don't have the right to process (e.g. someone else's confidential documents without authorization).
- Attempt to reverse-engineer, scrape, or overload the service beyond normal use.
- Use the service to violate any law or third party's rights.
- Share your API key or account access in a way that circumvents plan limits.
6. Your data and content
You retain ownership of the invoices and data you upload. You grant us a limited licence to process that content solely to provide the service to you (parsing, storage, export). We don't claim ownership over your invoice data, and we don't use it to train AI models.
7. Third-party integrations
When you connect QuickBooks, Xero, or similar services, you're also subject to that provider's own terms. We're not responsible for the availability, accuracy, or conduct of third-party services we integrate with.
8. Disclaimers
Paprly is provided "as is". We don't guarantee the service will be error-free, uninterrupted, or that AI-extracted data will always be fully accurate. You're responsible for reviewing extracted data before relying on it for accounting, tax, or financial purposes — Paprly is a tool to assist your workflow, not a substitute for professional judgment.
9. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from your use of Paprly, including errors in extracted invoice data. Our total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the claim arose. Nothing in these Terms limits liability that cannot be limited under Irish law.
10. Termination
You can stop using Paprly and delete your account at any time from your dashboard. We may suspend or terminate your access if you breach these Terms, with notice where reasonably possible.
11. Changes to these Terms
We may update these Terms from time to time. We'll update the "Last updated" date above when we do. Continued use of Paprly after changes take effect means you accept the updated Terms.
12. Governing law
These Terms are governed by the laws of Ireland, and any disputes are subject to the exclusive jurisdiction of the Irish courts.
